SUPPLEMENTAL LICENSE AGREEMENT

SUPPLEMENTAL LICENSE AGREEMENT FOR CISCO SYSTEMS NETWORK MANAGEMENT SOFTWARE: CISCOWORKS INTERFACE CONFIGURATION MANAGER

IMPORTANT-READ CAREFULLY: This Supplemental License Agreement ("SLA") contains additional limitations on the license to the Software provided to Customer under the Software License Agreement between Customer and Cisco. Capitalized terms used in this SLA and not otherwise defined herein shall have the meanings assigned to them in the Software License Agreement. To the extent that there is a conflict among any of these terms and conditions applicable to the Software, the terms and conditions in this SLA shall take precedence.

By installing, downloading, accessing or otherwise using the Software, Customer agrees to be bound by the terms of this SLA. If Customer does not agree to the terms of this SLA, Customer may not install, download, or otherwise use the Software. When used below, the term "server" refers to central processor unit.

ADDITIONAL LICENSE RESTRICTIONS

CiscoWorks Interface Configuration Manager (CiscoWorks ICM) Base Software Kit. Customer may install and run the Software on a single server. Customer needs any one of the following Initial Licenses in addition to this CiscoWorks ICM Base Software Kit, to manage ports:

CiscoWorks ICM 5000 Ports Initial License (CWICM-10-5K-LIC): Manages 5,000 ports.

CiscoWorks ICM 15000 Ports Initial License (CWICM-10-15K-LIC): Manages 15,000 ports.

CiscoWorks ICM 50000 Ports Initial License (CWICM-10-50K-LIC): Manages 50,000 ports.

CiscoWorks ICM 100000 Ports Initial License (CWICM-10-100K-LIC): Manages 100,000 ports.

When used anywhere in this SLA, a "port" means any port in the Customer's network environment, belonging to a device that has its own IP address. Please refer to the CiscoWorks ICM installation guide for further port definition.

Customers whose requirements exceed the Initial License limit of 5,000, 15,000, 50,000, or 100,000 ports must upgrade to any one of the following CiscoWorks ICM Add-on Licenses of the Software:

CiscoWorks ICM 5000 Ports Add-on License (CWICM-10-5K-LIC=): Adds 5,000 ports.

CiscoWorks ICM 15000 Ports Add-on License (CWICM-10-15K-LIC=): Adds 15,000 ports.

CiscoWorks ICM 50000 Ports Add-on License (CWICM-10-50K-LIC=): Adds 50,000 ports.

CiscoWorks ICM 100000 Ports Add-on License (CWICM-10-100K-LIC=): Adds 100,000 ports.

Ports restrictions are enforced by license registration.

Installation and Use

The Software components are provided to Customer solely to install or supplement existing functionality of the applicable Network Management Software product. Some license terms such as port count and proof of preexisting licenses may be electronically enforced.

Customer may install and use CiscoWorks Interface Configuration Manager on one (1) server in Customer's network management environment.

Reproduction and Distribution

Customer may not reproduce nor distribute software.

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

Please refer to the Cisco Systems, Inc. Software License Agreement.

Note Use the Cisco Product Identification (CPI) tool to locate your product serial number before submitting a web or phone request for service. You can access the CPI tool from the Cisco Technical Support & Documentation website by clicking the Tools & Resources link under Documentation & Tools. Choose Cisco Product Identification Tool from the Alphabetical Index drop-down list, or click the Cisco Product Identification Tool link under Alerts & RMAs. Submitting a Service Request

Using the online TAC Service Request Tool is the fastest way to open S3 and S4 service requests. (S3 and S4 service requests are those in which your network is minimally impaired or for which you require product information.) After you describe your situation, the TAC Service Request Tool provides recommended solutions. Definitions of Service Request Severity

To ensure that all service requests are reported in a standard format, Cisco has established severity definitions.

Severity 1 (S1)—An existing network is down, or there is a critical impact to your business operations. You and Cisco will commit all necessary resources around the clock to resolve the situation.

Severity 2 (S2)—Operation of an existing network is severely degraded, or significant aspects of your business operations are negatively affected by inadequate performance of Cisco products. You and Cisco will commit full-time resources during normal business hours to resolve the situation.

Severity 3 (S3)—Operational performance of the network is impaired, while most business operations remain functional. You and Cisco will commit resources during normal business hours to restore service to satisfactory levels.

Severity 4 (S4)—You require information or assistance with Cisco product capabilities, installation, or configuration. There is little or no effect on your business operations.
